Peter C. Harkins is a Managing Director of HKL.

During the 23-year period ended December 2013, Mr. Harkins was employed in a variety of executive positions at D.F. King & Co., Inc., where he specialized in shareholder activism, M&A transactions and proxy contests for board representation and control, serving public companies located primarily in the U.S. and Europe.  During the 13-year period ended December 2013, Mr. Harkins also served as President and CEO of D.F. King.

His experience encompasses many of the most complex and contentious M&A transactions and proxy contests occurring in the U.S. and Europe over the past thirty years and includes representation of, among others, United Technologies Corp., Sears, Roebuck & Company, RJR Nabisco, Inc., National Gypsum Company, GE Capital, Dow Corning Corporation, Banque Nationale de Paris, Vodafone Group Plc, Total S.A., AXA Financial, Inc., Kraft Foods Inc., Phelps Dodge Corporation, Deutsche Börse AG, Mittal Steel Co. NV, Cablevision Systems Corporation, Time Warner Inc., Comcast Corporation, The Home Depot, Inc., Motorola, Inc., GlaxoSmithKline plc (GSK), The Bank of New York Company, Inc., Wynn Resorts, Limited and Deutsche Telekom AG in connection with shareholder activism, M&A transactions, bankruptcy reorganizations and proxy contests for board representation and control.  Mr. Harkins also has been retained by noteworthy shareholder activists, including, among others, The Childrens’ Investment Fund (together with 3G Capital Partners LP) and Carl Icahn (together with Southeastern Asset Management, Inc.) in campaigns at CSX Corporation and Dell Inc., respectively.

Earlier in his career, Mr. Harkins held executive, analyst and portfolio management positions at investment firms focused on M&A transactions and, before that, he was employed as a Senior Vice President at Georgeson & Co., Inc., where he also specialized in M&A transactions and proxy contests.

Mr. Harkins has testified as an expert witness in U.S. District Court and Delaware Chancery Court proceedings involving corporate control matters, including shareholder rights plans.  In addition, he has appeared as a panelist at continuing education seminars sponsored by the Practicing Law Institute and at legal and investor conferences dedicated to shareholder activism, M&A transactions and proxy contests for board representation and control, including the Tulane Corporate Law Institute.

Mr. Harkins was awarded a Bachelor of Arts degree by The George Washington University in Washington, D.C., and a Juris Doctor degree by St. John’s University School of Law in New York City.
